1. Who these terms are between
These terms are a contract between the business that uses OwlHook (“you”) and Abhay Choudhary, sole proprietor, trading as OwlKraft (“OwlKraft”, “we”, “us”), of 4-5, Rameshwar Nagar, Yamunanagar, Haryana 135001, India. OwlHook is a product of OwlKraft, a sole proprietorship of Abhay Choudhary.
By creating an account, connecting an Instagram account or paying for OwlHook, you accept these terms. If you accept them for a business, you confirm that you are at least 18 and authorised to bind that business. OwlHook is for businesses and professionals, not for personal or household use.
2. The service
OwlHook automates replies to comments on Instagram professional accounts: public replies under comments, private replies to commenters, and follow-up messages to people who respond or who message your account. OwlHook runs the automations set up for your account. During early access we set them up with you and report what happened; a dashboard where you can do both yourself comes later.
OwlHook is in early access. We may change, add or remove features. If a change materially reduces what you pay for, we tell you in advance and you may cancel and receive a pro-rata refund of any prepaid period.
3. Your account and your Instagram connection
- Give us accurate details and keep them up to date. Keep your login secure; you are responsible for activity on your account.
- Connect only Instagram accounts that you own or are authorised to manage, through a Meta business portfolio that you administer.
- You connect through Meta's own login and choose what OwlHook may access. You can remove that access at any time in Meta's settings; your automations then stop.
- We act on the connected accounts only to run the automations you set up, and on your instructions.
4. Meta's platform and its rules
OwlHook works through Meta's official Instagram API. It is not affiliated with, endorsed or sponsored by Meta. Because OwlHook depends on Meta:
- Meta must verify our business and review OwlHook's app before OwlHook can work with Instagram accounts that belong to other businesses, so we activate your account only after that review. Meta's rules don't allow shortcuts, such as making your account a tester of our app.
- Meta's rules limit what any app can send. For example, one private reply per comment, sent within 7 days of the comment; further messages only within 24 hours of the person's last message or button tap; and at most 750 private replies an hour per account. OwlHook queues, delays or skips messages to stay within these rules, and records when it does. During early access we report this to you; the dashboard will show it.
- Meta decides how messages are delivered and displayed. A first message to someone who doesn't follow your account usually lands in their message requests, and some messages may not be delivered at all.
- Meta may change its API or its rules, or limit or suspend OwlHook's access. We aren't responsible for Meta's decisions, including any restriction Meta places on your Instagram account, but we will tell you about anything that affects your service as soon as we can.
- Meta's terms for apps that serve other businesses let Meta ask us which businesses use OwlHook, and require us to stop serving a business if Meta asks. When Meta asks, we give it your business's name, contact details and connected accounts.
5. Acceptable use
You must use OwlHook in line with Meta's Platform Terms and Developer Policies, Instagram's Terms of Use and Community Guidelines, Meta's Community Standards (including the spam standard), Instagram's Promotion Guidelines, and the law. In particular, you must not use OwlHook to:
- require people to like, follow, share or comment to get access to exclusive content (“follow-gating”);
- offer cash or cash equivalents in exchange for comments, follows or other engagement;
- send spam, or messages to people who haven't commented on your posts or messaged your account;
- send false, misleading or deceptive content, or impersonate anyone;
- target children, or collect children's data without the verifiable parental consent the law requires;
- send content that is unlawful, obscene, defamatory, harassing, hateful, harmful to children, infringes someone's rights, threatens India's unity, integrity, security or public order, or contains malware;
- ignore someone's request to stop, or try to get around OwlHook's pacing or Meta's limits;
- access other customers' data, probe or overload our systems, or copy, resell or reverse-engineer OwlHook without our written permission.
You are responsible for the content of your automations, including reply texts, messages and links, and for what is at your links.
6. Data protection
Our Privacy Policy explains how we handle personal data. For the Instagram data about people who interact with your account, you are the Data Fiduciary and we are your Data Processor under the Digital Personal Data Protection Act, 2023. You are responsible for having a lawful basis to process their data, for any notice the law requires (for example in your automated messages), and for answering their requests. We will:
- process that data only to provide OwlHook and on your instructions;
- keep it separate from other customers' data, and confidential;
- protect it with reasonable security safeguards;
- tell you within 24 hours of becoming aware of a personal data breach that affects it;
- help you answer requests from the people it is about;
- use only the service providers listed in our Privacy Policy, and update that list before adding one;
- delete it within 30 days after our contract ends, or earlier on your request, unless the law requires us to keep it.
Where the law requires a written contract for this processing, this section and any data processing agreement we sign with you form that contract.
7. Fees, billing and taxes
- Prices are on our Pricing page, in Indian rupees. GST at 18% is added, and we issue a GST tax invoice for every payment.
- Paid plans are billed in advance, monthly or yearly, and renew automatically until you cancel. For automatic payments, your bank or payment app notifies you before each debit, as Reserve Bank of India rules require.
- During early access, every customer joins on a written agreement that sets the price and when billing starts; the founding customer offer is an optional version of it. Once self-serve sign-up opens, new accounts start with a free trial: we don't charge you during it, billing starts after it, and if you don't subscribe when it ends, your automations pause. In every case, access starts when your account is activated, and we don't charge you before then.
- Plans have a monthly limit on automated actions. Usage resets at the start of each calendar month (IST), on monthly and annual plans alike; at the limit, automations pause until then. We never charge for extra usage without your agreement.
- We tell you at least 30 days before a price change applies to you. Founding customers keep their price for the period promised to them.
- If a payment fails, we may pause your automations until it is paid. We don't delete your data because of a failed payment without telling you first.
- Refunds are covered by our Refund and Cancellation Policy.
8. Cancellation, suspension and termination
You can cancel at any time. Your plan stays active until the end of the period you paid for, and isn't renewed.
We may suspend or end your use of OwlHook if:
- you break these terms, especially the acceptable-use rules;
- Meta asks us to, or your use puts OwlHook's access to Meta's platform at risk;
- you don't pay; or
- the law requires it.
We give notice and a chance to fix the problem where we reasonably can, but we may act at once if Meta or the law requires it or to prevent harm. When your use of OwlHook ends, we stop processing your data and delete it within 30 days, except what the law requires us to keep.
9. Intellectual property
We own OwlHook, its software and its brand. You own your content. You allow us to use your content only to provide OwlHook to you. If you send us feedback, we may use it without obligation to you.
10. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for these terms, unless the law requires disclosure.
11. Availability and support
We work to keep OwlHook running and to fix problems quickly, but we don't promise it will be uninterrupted or error-free, and during early access we offer no service-level guarantee. We may carry out maintenance. Support is by email and WhatsApp.
12. Disclaimers
Except as these terms say, OwlHook is provided “as is”. We don't guarantee any particular business result, such as sales or engagement, or that Meta will deliver every message. To the extent the law allows, we exclude all implied warranties.
13. Limitation of liability
Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or data. Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim arose.
These limits don't apply to fraud, or to any liability the law doesn't allow us to limit.
14. Indemnity
You will compensate us for losses and reasonable costs arising from third-party claims caused by your content, your automations, or your breach of these terms, Meta's terms or the law.
15. Changes to these terms
We may update these terms. For a material change, we email you at least 30 days before it takes effect. If you don't agree, you may cancel before then and receive a pro-rata refund of any prepaid period. If you keep using OwlHook after the change takes effect, the new terms apply.
16. Governing law and disputes
These terms are governed by the laws of India. If a dispute arises, please first raise it with our Grievance Officer so we can try to resolve it.
If it isn't resolved within 30 days, either of us may refer it to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by agreement. The seat of arbitration is Yamunanagar, Haryana, and the language is English. Subject to this, the courts at Yamunanagar, Haryana have exclusive jurisdiction.
17. General
- These terms, with the policies they link to, are the whole agreement between us about OwlHook.
- If any part is found unenforceable, the rest still applies.
- You may not transfer these terms without our consent. We may transfer them with the OwlHook business.
- Neither of us is liable for delays caused by events beyond reasonable control, including outages or changes at Meta.
- We send notices to your account email; send yours to hello@owlhook.com.
- Not enforcing a right straight away doesn't waive it.
